Terms of Service

These Terms of Service ("Terms") form a contract between you and the operator of ctxloom. By creating an account, starting a trial, or using any part of the ctxloom service (the website, CLI, API, or documentation), you agree to be bound by these Terms. If you do not agree, please do not use the service.

1. Who we are

ctxloom is operated by Ricardo Ribeiro, trading as Codzign, a sole trader registered in Luxembourg at 28, cité Joseph Brebsom, L4046, Esch-sur-Alzette ("we", "us", "our"). You can reach our support team by email.

2. What ctxloom is

ctxloom is a developer productivity tool that builds a structural knowledge graph from your source code and exposes it via a CLI, an IDE integration, and an MCP (Model Context Protocol) server. The service is delivered as software (installed on your machine) plus a licensing and billing API hosted by us.

3. Your account and licence

  • You must provide accurate information when starting a trial or purchasing a subscription.
  • One trial per person and per device. You must not create multiple accounts to bypass this rule.
  • Each Pro subscription covers one (1) activated machine. Each Team subscription covers up to five (5) activated machines. You may deactivate a machine at any time using ctxloom deactivate and reactivate on another within the same seat allowance.
  • You are responsible for keeping your licence key confidential. If you believe it has been compromised, email support and we will issue a new one.

4. Free trial

When you start a free trial, you get full access to ctxloom for fourteen (14) days. You can cancel at any time during the trial period from your billing portal (link in your trial confirmation email) and you will not be charged. If you do not cancel before the trial ends, your subscription automatically converts to a paid plan at the price you selected and your card is charged.

5. Subscriptions, prices, and billing

  • All prices are shown on our pricing page in euros (EUR). Applicable VAT and local sales taxes are calculated and added at checkout based on your billing country, and remitted to the relevant tax authority by our Merchant of Record.
  • Subscriptions auto-renew at the end of each billing period (monthly or annual). You will be charged on the renewal date using the payment method on file.
  • Payments are processed by Creem (creem.io), our Merchant of Record. Creem is the legal seller of record for all transactions and issues your invoice. By purchasing a subscription you also agree to Creem's Terms of Service.
  • We may change subscription prices for future billing periods. We will give you at least 30 days notice by email before any price change takes effect; if you do not agree, you can cancel before the new price applies.

6. Refunds and cancellations

We do not offer refunds on subscription payments. You can cancel your subscription at any time from your billing portal; the cancellation takes effect at the end of the current billing period, after which you will not be charged again. Until that date, you continue to have full access.

EU consumer right of withdrawal. If you are an EU consumer (not a business buyer) and this is your first purchase, you have the right to withdraw within 14 days of payment under EU Directive 2011/83/EU. By starting to use ctxloom during the trial or after subscribing, you expressly request the service to begin immediately and acknowledge that, to the extent you have already consumed the service, the right of withdrawal does not apply. To exercise the right, email our support team within 14 days of payment.

Exceptional refunds (service outage, billing error) are issued at our discretion. Email support and we will review.

7. Acceptable use

You agree not to:

  • Reverse-engineer, decompile, or disassemble the ctxloom client or server beyond what is permitted by applicable open-source licences.
  • Use ctxloom to attack, probe, or disrupt any third party's systems or data.
  • Share, sub-license, resell, or transfer your licence key to anyone else, beyond the seat allowance of your plan.
  • Use the service in a way that violates any applicable law, including sanctions, export controls, or intellectual-property law.
  • Use the service to process content you do not have the right to process.

We may suspend or terminate your access for breach of this section with or without prior notice depending on severity.

8. Intellectual property

ctxloom (the trademark, the source code we own, the documentation, the website design, and all derivative works) is owned by us. We grant you a personal, non-transferable, non-exclusive licence to install and use the software during the term of your subscription, subject to these Terms.

You retain full ownership of any source code you analyse with ctxloom. The CLI runs locally; we do not upload your code to our servers.

9. Disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

ctxloom generates structural analysis from source code. We make no warranty that the analysis is complete, accurate, or fit for any regulatory, audit, or security-critical purpose. You are responsible for verifying any output before relying on it for decisions that carry material consequence.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of data, or business interruption.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (for example, liability for death or personal injury caused by negligence, or for fraud).

11. Termination

You can stop using ctxloom and cancel your subscription at any time from your billing portal. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the service entirely (in which case we will give at least 30 days notice and pro-rata refund any unused prepaid period).

On termination, your licence to use ctxloom ends and you must stop using the software. The clauses that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will continue to apply.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email to active subscribers and on this page at least 30 days before they take effect. The "Last updated" date at the top of this page always reflects the current version. If you continue to use ctxloom after the change takes effect, you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of Luxembourg, without regard to its conflict-of-laws rules. Any dispute that we cannot resolve directly will be brought before the competent courts of Esch-sur-Alzette, Luxembourg.

If you are an EU consumer, this clause does not deprive you of the protection of mandatory provisions of the law of your country of residence. EU consumers may also use the European Commission's Online Dispute Resolution platform.
